Terms governing use of the EVENTUM platform and services.

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THE EVENTUM PLATFORM.

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and UiSER LLC and UiSER Innovations Pvt Ltd (collectively, "Company", "we", "us", or "our"), licensed operators of the EVENTUM® platform, governing your access to and use of the EVENTUM platform, website, and services (collectively, the "Service").

1. Acceptance of Terms

1.1. By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

1.2. If you do not agree to these Terms, you must not access or use the Service.

1.3. We reserve the right to modify these Terms at any time. Continued use of the Service after modifications constitutes acceptance of the updated Terms.

2. Service Description

2.1. EVENTUM is a comprehensive Software-as-a-Service (SaaS) platform designed for event management, including but not limited to:

  • Ticketing and registration (Ticketum module)
  • Call for Papers and content curation (Qrate module)
  • Post-event feedback collection (RateTalk module)
  • Schedule and agenda management
  • Speaker discovery and management
  • Multi-role user management (Organizer, Speaker, Jury, Volunteer, Attendee)

2.2. The Service is provided on a modular subscription basis, allowing users to select and pay for specific features as needed.

2.3. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice to users.

3. User Accounts and Roles

3.1. Account Creation: You must create an account to use certain features of the Service. You agree to provide accurate, current, and complete information during registration.

3.2. Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.3. Multiple Roles: A single user account may hold multiple roles (Organizer, Speaker, Jury, Volunteer, Attendee) across different events. Each role may have different permissions and access levels.

3.4. Role-Specific Responsibilities:

  • Organizers: Responsible for event creation, module selection, payment, content curation, and compliance with applicable laws.
  • Speakers: Responsible for timely submission of materials, accuracy of profile information, and professional conduct.
  • Jury Members: Responsible for fair and unbiased evaluation of submissions, disclosure of conflicts of interest.
  • Volunteers: Responsible for completing assigned tasks and maintaining confidentiality.

3.5. Account Termination: We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activity.

4. Subscription and Payments

4.1. Module Pricing: Each module has its own pricing structure (per-event, monthly unlimited, or usage-based). Current pricing is available on our website and during the checkout process.

4.2. Payment Processing: Payments are processed securely through Stripe. By providing payment information, you authorize us to charge the applicable fees.

4.3. Billing Cycle: Subscriptions are billed according to the selected plan (per-event or monthly). Per-event fees are charged upon event activation. Monthly subscriptions are charged on the anniversary of your subscription date.

4.4. Automatic Renewal: Monthly subscriptions automatically renew unless cancelled before the renewal date. You will be charged the then-current subscription fee.

4.5. Price Changes: We reserve the right to change pricing with 30 days' notice. Existing subscriptions will be honored at the original price until renewal.

4.6. Taxes: Fees are exclusive of applicable taxes. You are responsible for all taxes, duties, and assessments.

5. Acceptable Use Policy

You agree NOT to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Transmit harmful, offensive, or illegal content
  • Impersonate any person or entity or misrepresent your affiliation
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to any portion of the Service
  • Harvest or collect user information without consent
  • Use automated systems (bots, scrapers) without our written permission
  • Upload viruses, malware, or any malicious code
  • Engage in fraudulent ticket sales or payment manipulation
  • Manipulate feedback or ratings systems

6. Intellectual Property Rights

6.1. Platform Ownership and Licensing: The EVENTUM® platform and trademark are licensed to UiSER LLC and UiSER Innovations Pvt Ltd. The Service, including all software, designs, logos, and content created by the Company, is protected by copyright, trademark, and other intellectual property laws. EVENTUM® is a registered trademark.

6.2. User Content: You retain all rights to content you submit through the Service (event descriptions, speaker bios, talk abstracts, etc.). By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and display such content solely to provide the Service.

6.3. Speaker Profiles: Speakers retain ownership of their profile information, past performance data, and feedback. By opting into Speaker Discovery, speakers grant permission for their profile to be searchable by Organizers on the platform.

6.4. Feedback Data: Feedback submitted through RateTalk is owned by the submitting user but licensed to EVENTUM for aggregation and analysis. Organizers and speakers receive specific viewing rights as defined in the Privacy Policy.

6.5. Third-Party Content: You are responsible for ensuring you have all necessary rights to any third-party content you upload or share through the Service.

7. Data and Privacy

7.1. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

7.2. You consent to the collection, processing, and storage of data as described in the Privacy Policy.

7.3. We implement industry-standard security measures to protect your data, but cannot guarantee absolute security.

8. Third-Party Services and Integrations

8.1. The Service may integrate with third-party services (e.g., Stripe for payments, Eventbrite for ticketing, Google Calendar, Zapier).

8.2. Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for third-party services.

8.3. We may discontinue integrations with third-party services at any time.

9. Disclaimers and Limitations of Liability

9.1. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

9.3. IN NO EVENT SHALL EVENTUM BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

9.4. OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

9.5. Some jurisdictions do not allow exclusion of implied warranties or limitation of liability, so the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless EVENTUM, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising out of or related to:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content you submit through the Service
  • Events you organize using the platform

11. Termination

11.1. You may terminate your account at any time by following the account deletion process in your settings.

11.2. We may suspend or terminate your account immediately, without notice, if you violate these Terms or engage in conduct we deem harmful to the Service or other users.

11.3. Upon termination:

  • Your access to the Service will cease immediately
  • You will not be entitled to refunds for partial months or unused services
  • We may delete your data in accordance with our data retention policy
  • Sections of these Terms that by their nature should survive (Intellectual Property, Disclaimers, Indemnification) will continue to apply

12. Dispute Resolution

12.1. Informal Resolution: Before filing a claim, you agree to contact us to attempt to resolve the dispute informally.

12.2. Arbitration: Any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

12.3. Class Action Waiver: You agree to resolve disputes on an individual basis only. You waive any right to participate in class actions or class-wide arbitration.

12.4. Governing Law: These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to conflict of law principles.

13. General Provisions

13.1. Entire Agreement: These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and EVENTUM.

13.2. Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

13.3. Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

13.4. Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign or transfer our rights and obligations without restriction.

13.5. Force Majeure: We shall not be liable for any failure to perform due to circumstances beyond our reasonable control.
